TERMS OF SERVICE FOR FILMS2REELS

Welcome to Films2Reels LLC (“Films2Reels,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website (films2reels.com), client portal, and related services, including the Event Sales Content Engine™, Vendor Visuals Vault™, Asset Access Accelerator™, and Proposal Power Pack™ (collectively, the “Services”).

By accessing or using our Services, you agree to these Terms. If you do not agree, please do not use our website or Services.

1. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not use our Services to:

  • Upload or distribute any content that infringes on the rights of others.
  • Attempt to hack, disrupt, or interfere with our systems or security features.
  • Misrepresent your identity or affiliation with any organization.

We reserve the right to suspend or terminate access to our Services for any user who violates these Terms.

2. Client Accounts and Access

When you sign up for a Films2Reels service or client portal account, you agree to:

  • Provide accurate and complete information.
  • Keep your login credentials confidential.
  • Notify us immediately of any unauthorized access to your account.

Films2Reels is not liable for any loss or damage arising from your failure to maintain the security of your account.

3. Payment Terms

All purchases and retainers are subject to the pricing and terms provided in your Films2Reels proposal, invoice, or contract.

  • Payments are due according to the schedule outlined in your agreement.
  • Late payments may result in project delays or suspension of Services.
  • All fees are non-refundable once Services have commenced, unless otherwise stated in writing.

We use third-party payment processors and do not store payment information directly.

4. Project Deliverables and Storage

As part of our Event Sales Content Engine™ and related packages, Films2Reels provides video and media deliverables as specified in your agreement.

  • Final deliverables will be made available through our client portal or cloud storage system.
  • We will store your project files on our secure servers while your retainer is active.
  • Upon retainer expiration or project completion, you will have 30 days to download your content. After that, your files may be permanently deleted.

It is your responsibility to back up any content you wish to retain after the 30-day period.

5. Intellectual Property Rights

Client Materials: You retain ownership of all materials (logos, footage, images, etc.) you provide to Films2Reels. You grant us a limited license to use, edit, and store those materials solely for the purpose of fulfilling your project.

Films2Reels Content: All original video, photo, and design assets created by Films2Reels remain our property until full payment has been received. Upon final payment, Films2Reels grants you a royalty-free, perpetual license to use the final deliverables for marketing, internal communications, and event promotion purposes.

Portfolio Use: Unless otherwise agreed in writing, Films2Reels reserves the right to use portions of completed projects for our portfolio, website, and marketing materials.

6. Confidentiality

We respect the confidentiality of all client information and content. Any footage, strategy, or communication shared through the client portal or project process will not be disclosed to third parties except:

  • When required to perform contracted services (e.g., subcontracted editing).
  • When required by law or court order.

All subcontractors are bound by confidentiality agreements.

7. Limitation of Liability

To the fullest extent permitted by law, Films2Reels shall not be liable for:

  • Any indirect, incidental, or consequential damages arising from use or inability to use our Services.
  • Any loss of data or content after the 30-day download period.
  • Delays caused by client non-responsiveness, inaccurate information, or force majeure events.

Our total liability for any claim related to these Terms shall not exceed the amount you paid to Films2Reels for the specific service giving rise to the claim.

8. Warranties and Disclaimers

Films2Reels provides Services “as is” and makes no warranties, express or implied, regarding:

  • The uninterrupted operation of the website or client portal.
  • Specific results, such as increased sales or conversions.

We make every effort to ensure quality, reliability, and accuracy but cannot guarantee performance outcomes outside our control.

9. Termination

You may terminate your engagement with Films2Reels at any time in accordance with your signed agreement.

Films2Reels may terminate or suspend Services if:

  • Payment obligations are not met.
  • You breach these Terms or other project agreements.
  • We discontinue a service or offering.

Upon termination, you remain responsible for all outstanding payments and agree to cease use of any unpaid deliverables.

10. Privacy

Your privacy is important to us. Please refer to our Privacy Policy at https://films2reels.com/privacy for details on how we collect, use, and protect your data.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes shall be resolved in the appropriate state or federal courts located in Florida.

12. Updates to These Terms

Films2Reels may revise these Terms from time to time. The updated version will be posted on this page with the revised “Last Updated” date. Continued use of our Services after any updates constitutes acceptance of the new Terms.
